Michael Charles Wood aka “Mike Wood”, 54 year old used car salesman & serial grifter, Vancouver BC

PUBLIC SERVICE ANNOUNCEMENT

GENERAL TECHNOLOGIES https://generaltech.io/.

If anyone invested in Michael Wood’s latest deal, feel free to contact me as a witness when you sue him for fraud! I will happily assist, as a victim of his lies and frauds!

Mike Wood CEO of general technologies https://generaltech.io/ is a big time loser, liar and scammer. Look into his background carefully. He has not overseen any success since I met him in 1998 and lies like a dirty veteran scam artist. His previous ventures extending for a quarter of a century plus include the following: AutoOne (shuttered bankrupt), clutch (shuttered bankrupt), autoform (fired), TrafficDriven (bankrupt), Weissach Auto manager (let go), mintlist.ca (fired by his own Board of Directors and company was wound down shortly thereafter because of his mismanagement). The Board determined he was unfit as a CEO of an emerging startup and was concerned about their liability due to his mismanagement and the toxic environment he created at the workplace! Mike Wood is unfit to run a kool-aid stand in my opinion!

Mike Wood lies to both his investors and “friends” so buyer beware. His modus operandi is to live large on his investors’ capital. While running his “startup” mintlist.ca, he custom ordered a brand new black Porsche Targa GTS but had to give it up shortly after he was terminated from the company. I wonder who was paying for that vehicle and the timing of his disposal is certainly revealing? He did a similar thing in the mid 2000’s after securing a 7-digit private loan for AutoOne, going on multiple luxury vacations with his girlfriend (who lived in London) while staying in exclusive resorts for several thousand euros a night (this was the cost 20 years ago)!

Mike has ripped off many individuals around Vancouver with one guy losing $500k+ from when Mike was running autoOne! Most recently Mike as CEO of mintlist.ca had put the company in financial distress by November 2022 and it was a fact know internally within the company. In February 2023, he raised around $1mm from one investor by painting a fraudulently rosy picture of mintlist’s outlook without disclosing it was in dire straits. That investor lost everything by the end of the summer because of Mike’s lies! This investor will testify under oath in court. These funds were used mostly to pay prior debts incurred and not for future expansion. By the summer of 2023, Wood was talking privately to friends about selling his precious custom Porsche Targa GTS, which was the tell!

It’s a huge cliff and I have warned you! Don’t get involved with this Michael Charles Wood. His terrible reputation likely left him without any avenues of funding except for Crowdfunding on Frontfundr.com with anonymous investors who have been not been fully informed about his dark past in the General Technologies Offering Memorandum! Mike’s “friends” literally laugh at him behind his back, it’s that bad! Michael C Wood is basically a serial thief! He used to live off his wealthy girlfriend for many years, but she figured it out and left him in 2019 and he was in tears for more than a year and kept stalking her online! She had to “block him on all platforms.” She is aware of this website and concurs. Mike has also been a regular member of various dating sites where he even lies about his age on those sites, to dupe unsuspecting young women, trying desperately to keep his stated age below 50. Despicable behaviour for a despicable human excrement!

Now I have been told that Mike Wood used to borrow lunch money from his classmates at Prince of Wales Secondary School in Vancouver BC and would never repay anyone. This is a new low and is a pattern and practice of sociopathic behaviour he has had since he was a youth. Mike Wood is truly a super-predator in all aspects of his life! He cannot change and will not change!

The above is the real and sad story about Michael Charles Wood, a sociopath who even drained his parents retirement funds because of his own financial failures and low IQ! His younger brother was not happy about how this unraveled at the expense of their elderly parents, I was told. Hey Mikey, if what I wrote is not true, feel free to sue me for defamation!! You know who I am! I have not disclosed my name publicly because I rather not let the world know how foolish I was to trust you as a person/”friend,” POS. Go for it you LOSER!! Let’s go to court and get some discovery! Would you last even ten minutes under cross examination?

If Mike Wood was in Nigeria, he’d become their new Prince for defrauding money from strangers! Mike Wood is proof that a low IQ blind squirrel will never find a nut!

Mike has posted a new website https://michaelcwoodvancouver.com/ which lists his “achievements” but continues to obfuscate his consistently poor track record of NEVER having a successful business endeavour! Omissions are material facts. The giant white elephant is in the room! Prove me wrong!

I’ve read the full offering document carefully . Here is a detailed disclosure analysis:

Disclosure Analysis: Item 4.1 — Management Experience (Wood’s Bio)

The offering document describes Wood’s experience as:

“30+ years of experience building and scaling businesses across technology, automotive, financial services, carbon offsets, and other industries. As a founder and operator, he has successfully built and exited ventures, raised capital, and executed go-to-market strategies.”

This is materially misleading on its face. The document:

  • Claims “successfully built and exited ventures” — there are no known successful exits in Wood’s history. autoONE closed, Clutch closed, he was reportedly fired from Autoform and Weissach, and he was fired as CEO of MintList by the board in October 2023. No exit. No return to investors.
  • Does not name a single prior company — AutoOne, Clutch, Autoform, Weissach, and MintList are all completely absent from the document.
  • Does not disclose the MintList CEO termination — the single most material fact about his recent executive history is entirely omitted.
  • Does not disclose the failure or closure of any prior venture — investors have no basis to evaluate the pattern.

Disclosure Analysis: Item 4.2 — Penalties, Sanctions, Bankruptcy

The document states flatly that no person listed in Item 4.1:

“(d) is or has ever been the subject of a bankruptcy or insolvency proceeding”

This section addresses formal legal proceedings — bankruptcies, insolvencies, cease-trade orders, criminal matters. Based on our research, there are no confirmed formal bankruptcy filings against Wood personally, so this section is technically defensible on a narrow reading. However it is worth noting that multiple companies he led appear to have quietly wound down, and the question of whether any formal insolvency proceedings were filed for TrafficDriven Technologies / MintList is worth verifying via BC or federal corporate registry searches.

The Central Legal Issue: Misrepresentation

This is the critical section of the document for your purposes. Page 23, Item 13 reads:

“This offering document does not contain a misrepresentation.” Signed by Michael Charles Wood, March 19, 2026.

Under NI 45-110 and applicable Canadian securities law, a misrepresentation includes not just false statements but also omissions of material facts that are necessary to make a statement not misleading in the circumstances.

The statement that Wood has “successfully built and exited ventures” when no successful exits are publicly documented — and when his most recent CEO role ended with a board-forced termination in October 2023 — is a statement that a reasonable investor would consider important, and its omission or mischaracterization is a textbook example of a material misrepresentation by omission.

Additional Red Flags in the Document

Beyond the Wood disclosure issues, several other items in the document warrant attention:

1. Corporate history is unusual. The company was originally incorporated as “Kannaba Agritech Corp.” in June 2018, then renamed “Acuity Holding Corp.”, then converted to a Nevada corporation as “General Technologies Inc.”, then continued back as a Canadian federal corporation in February 2026. This is a shell company history — not a dental AI startup founded from scratch. Investors are not told what Kannaba Agritech or Acuity Holding were, or why a cannabis/agritech shell became a dental AI company.

2. Subsidiary in Zimbabwe. The document discloses a wholly-owned subsidiary called Green Life Therapeutics (Private) Limited, incorporated in Zimbabwe in December 2018. This appears to be a remnant of the cannabis/agritech era and has no stated connection to ChartAI or dental operations. No explanation is given.

3. Wood holds voting trustee power over all investors. The Voting Trust Agreement gives Michael Charles Wood — the man whose fitness to lead is the central question — absolute voting control over all crowdfunding investors’ shares for up to 21 years. Investors have no voting rights at all. This is an extraordinary concentration of control in a person with the track record outlined above.

4. “Successfully built and exited ventures” with zero named examples. A standard offering document for a crowdfunding raise should name prior companies and their outcomes. The complete absence of any named prior venture is itself a red flag that suggests deliberate avoidance.

5. $3,070,604 already raised under private issuer exemption — but the document provides no detail on who those investors are, what terms they received, or whether any of them are the same MintList-era investors.

Bottom Line

This offering document does not disclose Wood’s involvement in autoONE, Clutch, Autoform, Weissach, or MintList. It actively mischaracterizes his track record by claiming successful exits. The omission of his October 2023 termination as CEO of MintList by the board is a material fact that a reasonable investor would consider essential to their investment decision.

Under Section 12.1 of this very document, investors who are harmed by a misrepresentation have the right to cancel their agreement or claim damages — whether or not they relied on the misrepresentation. That is the legal remedy available, but prevention is obviously preferable.

If you are considering sharing this analysis with the BC Securities Commission or FrontFundr’s compliance team, both would be appropriate recipients. FrontFundr as an exempt market dealer has its own due diligence obligations on the issuers it hosts.
